Terms & Conditions of Sale
These Terms and Conditions (“Terms”) form the agreement between B&T Associates Ltd trading as Chapman or Chapman Products (“we”, “us”, or “our”) and the purchaser (“you”, “your”). They apply to all sales of goods supplied by us unless otherwise agreed in writing.

Your attention is drawn in particular to Clause 12 (Limitation of Liability). These Terms do not affect your statutory rights.
1. Interpretation
1.1 In these Terms, “Goods” means the products that we agree to supply to you.
1.2 References to “writing” include email.
1.3 Headings are for convenience only and shall not affect interpretation.
2. Basis of Contract
2.1 These Terms apply to the contract for the sale of Goods (“Contract”) to the exclusion of any terms you seek to impose or which may be implied by custom or practice.
2.2 Your order constitutes an offer to purchase Goods. The Contract is formed only when we issue written confirmation of acceptance (“Order Confirmation”).
2.3 Any samples, images, descriptions, or illustrations are provided for general guidance only and do not form part of the Contract.
2.4 We may refuse or cancel an order at our discretion if, for example, Goods are unavailable or pricing errors are identified.
3. Customers
3.1 You are a Consumer Customer if purchasing wholly or mainly outside your trade, business, craft, or profession.
3.2 You are a Business Customer if purchasing in connection with your trade, business, craft, or profession.
3.3 Unless otherwise specified, these Terms apply to both Business and Consumer Customers.
4. Prices & Quotations
4.1 All prices are quoted in pounds sterling, exclusive of VAT and delivery charges unless otherwise stated.
4.2 Any quotation is valid for 30 days from its date of issue, unless withdrawn earlier.
4.3 We reserve the right to adjust prices where necessary to reflect increases in costs (for example, raw materials, transport, or duties).
5. Payment
5.1 Payment is required in full at the time of order unless you hold an approved credit account.
5.2 Where a credit account has been agreed in writing, payment must be made within 30 days of the invoice date.
5.3 We reserve the right to suspend deliveries or cancel orders if payment is overdue.
5.4 Interest may be charged on overdue amounts at a rate of 4% above the Bank of England base rate until payment is made in full.
6. Delivery & Risk
6.1 Delivery dates are estimates only and time shall not be of the essence.
6.2 Risk in the Goods passes to you when delivery is made.
6.3 Title to the Goods shall not pass until we have received payment in full.
7. Inspection & Acceptance
7.1 You must inspect the Goods immediately on delivery and notify us of any shortage, damage, or defect within 7 days.
7.2 If no notice is received within this period, the Goods shall be deemed accepted.
8. Returns & Cancellations
8.1 Consumer Customers may cancel an order in accordance with the Consumer Contracts Regulations 2013, subject to statutory exclusions (for example, bespoke or perishable goods).
8.2 Business Customers may only return Goods with our prior written consent. A handling or restocking charge may apply.
8.3 Returned Goods must be unused, in their original packaging, and suitable for resale.
9. Warranties
9.1 We warrant that the Goods will correspond with their description at the time of delivery and will be free from material defects.
9.2 Any warranty is limited to repair, replacement, or refund at our discretion.
9.3 This warranty does not apply to defects arising from improper use, neglect, unauthorised modification, or failure to follow installation/operating instructions.
10. Force Majeure
10.1 We shall not be liable for any delay or failure in performance caused by events beyond our reasonable control, including but not limited to strikes, natural disasters, acts of government, transport delays, or shortages of materials.
11. Termination
11.1 We may terminate the Contract immediately if you fail to pay on time or otherwise materially breach these Terms.
11.2 On termination, you shall immediately pay all outstanding sums due.
12. Limitation of Liability
12.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot legally be excluded.
12.2 Subject to 12.1, our total liability to you shall not exceed the price paid for the Goods.
12.3 We shall not be liable for:
- Loss of profit, business, or revenue;
- Indirect or consequential losses;
- Any delay in delivery beyond our reasonable control.
13. Governing Law & Jurisdiction
13.1 These Terms and the Contract are governed by the laws of England and Wales.
13.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
